These Terms of Use (“Terms”) govern your access to and use of the website, member portal, event registration pages, online forms, content, features, and related online services operated by Enterprise USA LLC (“Company,” “we,” “us,” or “our”) and located at www.cc-usa.com and any other website or online service that links to these Terms (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, you may not access or use the Site.

Our services

We operate a membership and networking organization for businesses, business owners, executives, founders, professionals, sponsors, and related participants. Through the Site, we may provide information about our organization, memberships, events, programs, networking opportunities, sponsorships, publications, member resources, online forms, account access, event registration, and related services.

These Terms apply to your use of the Site. Memberships, events, sponsorships, paid programs, member benefits, and other services may be subject to additional terms, applications, agreements, rules, codes of conduct, or policies. If there is a conflict between these Terms and a separate written agreement signed by us, the separate written agreement will control with respect to that subject matter.

Eligibility, member access, and authority

You must be at least 18 years old and legally able to enter into a binding agreement to use the Site. Certain areas of the Site, including any member portal, member directory, networking tools, event materials, referral features, community features, or member-only resources, may be available only to members in good standing or other users authorized by us. We may deny, suspend, or terminate access if your membership expires, lapses, is not renewed, is suspended, or is terminated.

If you access or use the Site, register for an event, submit an application, purchase a membership, or otherwise interact with us on behalf of a company or other legal entity, you represent that you have authority to act on behalf of that entity and to bind it to these Terms and any applicable order, registration, application, membership terms, or agreement.

Account registration and security

Certain features of the Site may require you to create an account, submit an application, register for an event, or provide information about yourself or your business. You agree to provide accurate, current, and complete information and to update it as necessary.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly if you believe your account has been compromised or used without authorization.

We may suspend or terminate access to the Site or any account if we believe that the account has been misused, compromised, used in violation of these Terms, or used in a way that may harm us, our members, our users, our sponsors, our partners, or any third party.

Memberships, events, sponsorships, and payments

Membership applications, membership renewals, event registrations, sponsorships, and paid programs may be subject to additional terms, eligibility requirements, approval processes, fees, cancellation policies, refund policies, and event-specific rules.

Unless otherwise stated in writing by us, all fees are due at the time of purchase, registration, or invoice and are non-refundable except as required by law or expressly stated in the applicable order, registration page, invoice, membership agreement, sponsorship agreement, or event policy.

We may use third-party payment processors to process payments. Payment processors may have their own terms and privacy policies. We are not responsible for payment processor errors, delays, or unauthorized transactions except to the extent required by applicable law.

If any payment is declined, reversed, charged back, or otherwise not received when due, we may suspend or terminate the applicable membership, registration, account, sponsorship, program, or service and require payment of overdue amounts, chargeback fees, collection costs, and reasonable attorneys’ fees to the extent permitted by law.

We reserve the right to refuse, cancel, suspend, or limit any membership, event registration, sponsorship, purchase, or access to any program in our reasonable discretion, including where we believe there has been fraud, misuse, non-payment, violation of these Terms, or conduct inconsistent with the purpose or reputation of our organization.

Member and user conduct

You agree to use the Site and our online services only for lawful, professional, and appropriate purposes. You may not:

  • violate any applicable law, regulation, or third-party right;
  • provide false, misleading, incomplete, or inaccurate information;
  • impersonate another person or entity;
  • interfere with or disrupt the Site, servers, networks, security features, or other users’ access;
  • attempt to gain unauthorized access to any account, system, data, or non-public area of the Site;
  • upload, transmit, or distribute viruses, malware, ransomware, spyware, worms, bots, or other harmful code;
  • use the Site to send spam, unsolicited commercial messages, unlawful marketing communications, or abusive messages;
  • scrape, harvest, copy, export, or collect information from the Site, members, sponsors, partners, speakers, or users without authorization;
  • use bots, crawlers, scrapers, data-mining tools, extraction tools, automated queries, or similar automated methods to access the Site or collect information without our prior written consent;
  • use the Site, member directory, attendee lists, referral tools, messaging features, introductions, relationship data, or any member or participant information to create, support, market, or operate a competing membership, networking, referral, directory, database, or community organization;
  • post or transmit content that is unlawful, defamatory, harassing, discriminatory, abusive, obscene, misleading, deceptive, disparaging, or otherwise objectionable;
  • use the Site or any member information in a manner that is deceptive, misleading, harassing, or inconsistent with the professional purpose of our organization; or
  • use the Site in a manner that could harm our reputation, business, members, sponsors, partners, or users.
  • We may remove content, restrict access, suspend accounts, terminate access, or take other appropriate action if we believe these Terms have been violated.

Member directories, introductions, and community features

The Site may include member profiles, directories, networking tools, referral features, event attendee lists, messaging features, introductions, community forums, or other community-related functionality. These features are provided to support legitimate business networking and community participation.

You may use member or participant information only for legitimate, professional, and authorized networking purposes. You may not copy, export, scrape, sell, rent, license, publish, mass message, or use member or participant information for spam, unauthorized marketing, competitive databases, or any unauthorized commercial purpose.

We do not guarantee the accuracy, completeness, qualifications, availability, reliability, or conduct of any member, participant, sponsor, speaker, partner, vendor, or other third party. Any business relationship, referral, transaction, communication, or interaction between users or third parties is solely between those parties.

You are solely responsible for conducting your own due diligence before entering into any business relationship, referral, transaction, investment, engagement, partnership, or other arrangement with any member, participant, sponsor, partner, speaker, vendor, or third party.

Networking data, relationship data, and operational data

We may compile, organize, analyze, and use information generated through the Site, events, memberships, introductions, referrals, networking activity, community participation, and related interactions to operate, administer, protect, and improve our organization, programs, member experience, business relationships, and services.

As between you and us, we own the Site, our databases, directories, compilations, analytics, aggregated data, operational data, relationship maps, and other materials that we create or derive from operating our organization and services, subject to your rights in your personal information and your own pre-existing content.

Nothing in these Terms transfers ownership of your pre-existing intellectual property to us. Our collection and use of personal information is governed by our Privacy Policy.

User content

The Site may allow you to submit, upload, post, display, or transmit content, including profile information, biographies, company information, comments, testimonials, photographs, logos, feedback, event materials, messages, or other materials (“User Content”).

You are responsible for your User Content and represent that you have all rights, licenses, consents, and permissions necessary to submit it and grant the rights described in these Terms. You may not submit User Content that violates any law, infringes any intellectual property, privacy, publicity, or other rights, or violates these Terms.

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, format, display, publish, distribute, and otherwise process the User Content as reasonably necessary to operate, promote, protect, and improve the Site, our organization, memberships, programs, events, member directory, community features, and related services.

You may request removal of your User Content by contacting us, but we may retain copies as reasonably necessary for legal, archival, compliance, security, dispute-resolution, or legitimate business purposes.

Company content and intellectual property

The Site and its content, features, design, text, graphics, logos, icons, images, videos, software, databases, directories, compilations, trademarks, service marks, and other materials are owned by us or our licensors and are protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business purposes related to evaluating or participating in our organization, memberships, events, programs, or services.

You may not copy, reproduce, modify, distribute, publicly display, publicly perform, create derivative works from, reverse engineer, sell, license, or exploit any portion of the Site except as expressly permitted by us in writing.

No rights are granted to you in or to our name, logos, trademarks, service marks, trade names, branding, or other proprietary materials except with our prior written consent.

Feedback

If you provide ideas, suggestions, comments, or feedback about the Site, memberships, events, programs, community features, or services, you grant us the right to use that feedback without restriction or compensation to you.

Communications

If you provide an email address, phone number, or other contact information, we may contact you for administrative, transactional, membership-related, account-related, payment-related, event-related, security, and service-related purposes.

We may send marketing emails where permitted by law. You may opt out of marketing emails by following the unsubscribe instructions in the email or by contacting us.

We will send marketing text messages or automated marketing calls only where permitted by law and, where required, with your prior consent. You may opt out as described in the applicable message or communication. Even if you opt out of marketing communications, we may still send non-marketing communications, including membership, transaction, account, event, legal, security, and administrative notices.

Access, preservation, and disclosure of information

We may access, preserve, and disclose account information, User Content, usage information, communications, and related records where reasonably necessary to comply with law, respond to legal process, enforce these Terms, investigate potential violations, address fraud or security issues, respond to support requests, protect the rights, property, or safety of us, our members, users, sponsors, partners, or the public, or operate and protect the Site and our services.

Any such access, preservation, and disclosure will be subject to our Privacy Policy and applicable law.

Third-party services and links

The Site may contain links to third-party websites, platforms, tools, payment processors, event registration services, social media pages, embedded content, sponsors, partners, vendors, or other third-party services.

We do not control and are not responsible for third-party websites, services, content, terms, privacy policies, products, or practices. Your use of third-party services is at your own risk and may be subject to separate terms and policies.

The inclusion of a link, integration, sponsor reference, partner reference, or third-party resource does not imply endorsement, approval, or verification by us unless we expressly state otherwise.

Privacy

Our collection, use, and disclosure of personal information are described in our Privacy Policy and Cookie Policy. By using the Site, you acknowledge that we may process personal information as described in those policies.

No professional advice

Information available on the Site or through our events, publications, programs, speakers, sponsors, members, partners, or communications is provided for general informational and networking purposes only. It does not constitute legal, tax, accounting, investment, financial, business, professional, or other advice.

You should consult your own professional advisers before making business, legal, financial, investment, tax, accounting, or other decisions.

No guarantees

We do not guarantee that membership, participation in events, introductions, networking opportunities, sponsorships, referrals, use of the Site, or participation in our programs will result in any particular business opportunity, transaction, revenue, investment, financing, client relationship, partnership, employment opportunity, referral, or other outcome.

You are solely responsible for evaluating any member, participant, sponsor, partner, opportunity, referral, communication, transaction, or relationship.

Copyright and intellectual property complaints

If you believe that content on the Site infringes your copyright, trademark, or other intellectual property rights, please contact us at [legal email] with sufficient information to identify the allegedly infringing material and the rights claimed to be infringed.

If we receive a proper notice of alleged infringement, we may remove or disable access to the relevant content and take other appropriate action. We may also terminate access for repeat infringers where appropriate.

Disclaimers

The Site and all content, features, and services made available through the Site are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and uninterrupted or error-free operation.

We do not warrant that any content, member information, event information, directory information, or third-party information will be accurate, complete, current, or reliable.

Limitation of liability

To the maximum extent permitted by law, we and our officers, directors, employees, agents, affiliates, service providers, sponsors, partners, licensors, and representatives will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for loss of revenue, business, goodwill, data, opportunities, or reputation, arising out of or relating to the Site, these Terms, memberships, events, networking opportunities, community features, referrals, sponsorships, third-party services, or third-party interactions.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Site or these Terms will not exceed the greater of: (a) the amount you paid us, if any, for access to the Site or the specific online service giving rise to the claim during the three months before the claim arose; or (b) USD $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless us and our officers, directors, employees, agents, affiliates, service providers, sponsors, partners, licensors, and representatives from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or relating to:

  • your User Content;

  • your violation of any law or third-party right;
  • your interaction, transaction, communication, or dispute with any member, user, sponsor, partner, vendor, or third party;
  • your unauthorized use of member, participant, attendee, sponsor, or business contact information; or
  • your creation, support, marketing, or operation of any competing networking, referral, membership, directory, database, or community organization using information obtained through the Site or our services.

Suspension and termination

We may suspend, restrict, or terminate your access to the Site, your account, your member portal access, or any online service at any time if we believe that you have violated these Terms, created risk for us or others, failed to pay amounts due, misused member or Site information, violated community or event rules, or engaged in conduct inconsistent with the purpose or reputation of our organization.

You may stop using the Site at any time. Termination of Site access does not necessarily terminate any separate membership, sponsorship, event, or other written agreement unless the applicable agreement provides otherwise.

Any provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, User Content licenses, networking data, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and miscellaneous terms.

Changes to the site or terms

We may modify, suspend, discontinue, or restrict any part of the Site at any time without liability. We may update these Terms from time to time. The “Last Updated” date above indicates when these Terms were last revised. Your continued use of the Site after updated Terms are posted means you accept the updated Terms.

Force majeure

We will not be liable for delay, cancellation, interruption, or failure to provide the Site, events, programs, memberships, or services due to circumstances beyond our reasonable control, including acts of God, severe weather, natural disasters, labor disputes, internet or utility failures, cyber incidents, war, terrorism, public health emergencies, government action, venue issues, supplier failures, transportation disruptions, or other events beyond our reasonable control.

Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Subject to any arbitration provision below, any action arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of those courts.

Arbitration; class action waiver; jury trial waiver

At our election, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or your use of the Site may be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules. The arbitration will take place in New York County, New York, unless we agree otherwise. The arbitrator will have authority to award the same damages and relief that a court could award, subject to these Terms.

You and we agree that any dispute resolution will be conducted only on an individual basis and not in a class, consolidated, collective, or representative action. You and we waive any right to participate in a class action, class arbitration, collective action, or representative action to the maximum extent permitted by law.

You and we waive any right to a jury trial to the maximum extent permitted by law.

Nothing in this section prevents either party from seeking temporary, preliminary, or permanent injunctive relief in court to protect intellectual property, confidential information, member data, security, account access, or other rights.

Electronic communications

You agree that we may provide notices, disclosures, and communications electronically, including by email, through the Site, through your account, or by posting notices on the Site. Electronic communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

Miscellaneous

These Terms, together with any policies or additional terms referenced in them, constitute the entire agreement between you and us regarding your use of the Site.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, reorganization, or by operation of law.

Nothing in these Terms creates any agency, partnership, joint venture, fiduciary, employment, trustee, representative, or franchise relationship between you and us.
